Direct Seller Agreement

Effective 19 October 2026 · Version 2026-10-19

This agreement is between Messiah Grace (“Messiah Grace”, “we”) and you, a person who joins the Messiah Grace partner programme as a direct seller (“partner”). Your sponsor (or we) create your partner ID; you accept this agreement yourself the first time you sign in, and we keep a record of the version you accepted and when.

1. Who can join

  • You must be at least 18 years old, a resident of India, and able to enter into a contract.
  • One account per person. Your sponsor creates your partner ID in your own name, with your own email and mobile number, and places it in their team. You may not join in someone else's name or let anyone else use your account.
  • To be paid you must complete KYC: your PAN and a bank account in your own name, which we verify (see section 6).

2. Joining is free

There is no joining or registration fee. You are not required to buy any product, starter kit, stock, or sales or demonstration material to join, to stay a partner, or to qualify for any rank. Buy only what you or your customers will genuinely use.

3. Your status

You are an independent direct seller, not our employee, agent or franchisee. You decide when and how much you work. You may not make promises, sign documents or accept money on our behalf, except as this agreement allows.

4. How you earn

  • You earn commissions only from the sale of our products. Each product carries business volume (BV), and commissions are calculated on the BV from genuine purchases in your sales organisation, under the compensation plan published to partners in the partner portal.
  • You earn nothing for introducing or enrolling people. Introducing someone earns you money only when products are actually sold.
  • Income is not guaranteed. What you earn depends on your own effort and on real product sales, and many partners earn little or nothing. Do not join, buy or recruit expecting a particular income.
  • The compensation plan sets payout cycles, caps and the minimum you can withdraw from your income wallet. Each plan version has a date from which it applies; a cycle is always paid under the version in force for it.

5. Payments, refunds and tax

  • Commissions are credited to the income wallet in your partner account after each payout cycle is calculated and approved by us. Some products also carry a fixed cashback, shown on the product, which is added to your repurchase wallet when we confirm your payment for the order. You can spend your repurchase wallet on our products and move money from your income wallet into it (not back). Wallet balances are a record of what you have earned, not a separate currency, and cannot be transferred to anyone else. Once a wallet holds its minimum (shown on the Wallet Withdrawal page; ₹100 for the repurchase wallet), you can withdraw from it and we pay you by UPI (to a UPI ID you give us) or by bank transfer, in either case only to an account in your own name.
  • We deduct income tax at source (TDS) on your commissions as the Income Tax Act requires and report it against your PAN. You can see each deduction in your earnings statement. You are responsible for your own income tax and, if it applies to you, GST.
  • If an order is refunded, the commissions it earned and any cashback it added to your repurchase wallet are reversed, from your wallet or from future earnings.
  • You can see your orders, BV, wallets, deductions and payouts in the partner portal at any time.

6. KYC

Before you can be paid we verify your identity with your PAN and your bank details, as the Consumer Protection (Direct Selling) Rules, 2021 require. We never ask for your full Aadhaar number. Keep your details up to date. We may refuse or withhold payment while your KYC is incomplete or cannot be verified. How we handle these details is described in the Privacy Policy.

7. How you must sell (code of conduct)

  • Identify yourself as an independent Messiah Grace partner, give your partner code, and carry the partner identification we provide.
  • Visit a customer's home or workplace only with their prior permission.
  • Describe products, prices, taxes, delivery and our return and refund policy truthfully and completely. Make sure every customer gets our invoice.
  • Make no medical, health or other claims about a product beyond what is printed on its pack or in our official material.
  • Make no claims about earnings beyond what the published compensation plan says, and never present the programme as a way to earn by recruiting others.
  • Do not pressure, mislead or harass anyone, or take advantage of anyone's age, illness or lack of knowledge.
  • Do not sell our products through online marketplaces or other shops, or advertise them under our name, without our written permission. Use our name and logo only in material we provide or approve.
  • Protect your customers' personal details, use them only to serve those customers, and never share them.
  • Follow all applicable laws.

8. What we do for you

  • Provide accurate information about our products, prices and the compensation plan.
  • Calculate and pay commissions correctly and on time, under the published plan, and show you how they were worked out.
  • Honour our refund, return, cooling-off and buy-back terms.
  • Answer your complaints through our grievance redressal process.
  • Protect your personal data as the Privacy Policy describes.

9. Changes to the plan or this agreement

We will tell you at least 30 days before a change to the compensation plan or this agreement takes effect, except where a change is required by law. Changes never reduce commissions you have already earned. If you do not accept a change, you may end this agreement before it takes effect.

10. Cooling-off period

You may cancel this agreement within 30 days of joining, for any reason, by telling us through Help or the grievance officer. We refund in full the products you bought during that period that are unopened and fit for resale, and the commissions paid on those purchases are reversed.

11. Buy-back

If you stop being a partner, you may return products you bought from us in the previous 30 days that are unopened, fit for resale and still on sale. We refund what you paid for them, less any commissions paid on those purchases.

12. Ending the agreement

  • You may end this agreement at any time by telling us through Help or the grievance officer.
  • We may suspend or end it if you break this agreement or the law: for example by making false claims, misusing customer data, breaking the code of conduct, or giving false KYC details. Except in serious cases, we will first tell you why and give you a chance to respond.
  • When the agreement ends, we pay the commissions you earned up to that date, less any reversals and tax. Your partner code, name and the date are published on our list of delisted partners, as required for direct selling.

13. Complaints

Raise any complaint through Help in the partner portal or with our grievance officer (details below and on the grievance redressal page). We acknowledge it within 48 hours and aim to resolve it within one month. You can also contact the National Consumer Helpline on 1915.

14. Law and courts

This agreement is governed by the laws of India, including the Consumer Protection (Direct Selling) Rules, 2021. The courts where our registered office is located have jurisdiction, without affecting any right you have as a consumer.
